Terms of Service

01Acceptance of these terms

By creating an account or using reflyst.com and its associated dashboard, APIs, and AI outreach features (the “Service”), you (“Institute,” “you”) agree to these Terms of Service (“Terms”). If you are agreeing on behalf of a business, you confirm you have authority to bind that business.

02Description of the service

RefLyst is a B2B SaaS platform that helps educational and upskilling institutes re-engage prospective students (“Leads”) who have not yet enrolled, by automating outreach across WhatsApp, email, and AI-driven voice calls over a configurable nurture period, and by helping route Leads toward webinars, 1-on-1 counsellor sessions, or course enrollment.

03Eligibility

The Service is intended for businesses and professionals, not consumers. You must be at least 18 years old and authorized to act for the Institute you represent. You are responsible for ensuring your use of the Service complies with any education-sector regulations applicable to your business.

04Account registration and security

You must provide accurate registration information and keep your login credentials confidential. You are responsible for all activity under your account. Notify us immediately at support@reflyst.com if you suspect unauthorized access.

05Your responsibilities as an Institute

You represent and warrant that:

• You own or have the right to upload and use the Lead data you provide to RefLyst, and you have a lawful basis (including any required consent) to contact those Leads by WhatsApp, email, and phone/voice call.
• You will comply with applicable telecom and marketing regulations, including India's Telecom Commercial Communications Customer Preference Regulations (DND framework), the DPDP Act, and Meta's WhatsApp Business Messaging Policy, in respect of your Leads.
• Information you configure for the AI to convey — course fees, batch dates, placement statistics, testimonials, and similar claims — is accurate. You are solely responsible for the truthfulness of substantive claims made about your courses, including where the AI conveys them on your behalf.
• You will not use the Service to contact individuals who have not expressed some prior interest in your offerings, or in a manner that constitutes unsolicited commercial communication under applicable law.

06Acceptable use

You agree not to:

• Use the Service for any unlawful purpose, or to send content that is fraudulent, deceptive, defamatory, or that infringes another party's rights.
• Upload data you are not authorized to process, including sensitive personal data beyond what is reasonably needed for admissions outreach.
• Attempt to reverse-engineer, resell, sublicense, or provide unauthorized third-party access to the Service.
• Interfere with or attempt to disrupt the Service's infrastructure, or probe, scan, or test its security without authorization.
• Use the Service to impersonate any person or misrepresent your affiliation.

We may suspend or terminate accounts that violate this section.

07AI-generated communications

Messages, emails, and voice calls sent through the Service are generated or assisted by artificial intelligence, configured by you and trained on information and instructions you provide. While we design the AI to follow your configured goals and to only use information you've supplied, AI systems can make mistakes, including occasional inaccuracies or unexpected phrasing. You are responsible for reviewing and approving the substantive content (course details, fees, dates, claims) the AI is configured to convey, and for promptly correcting anything inaccurate. RefLyst is not liable for outcomes resulting from inaccurate information you configured or approved, or for a Lead's individual reaction to an AI-conducted conversation.

Where law requires disclosing to a call or chat participant that they are interacting with an AI system, or that a call is being recorded, you are responsible for ensuring such disclosure is made; RefLyst provides the technical means to include such disclosures in the conversation flow on request.

08Fees, wallet, and billing

• The Service operates on a pay-as-you-go wallet system. You top up your wallet balance via Razorpay, and credits are debited per Lead as outreach is delivered to that Lead, at the per-lead rate applicable to your account tier at the time of debit.
• Uploading leads is free; charges apply only when outreach is actually sent.
• Wallet top-ups are generally non-refundable except where required by applicable law. Unused balances remain available on your account unless your account is terminated for breach of these Terms.
• We may change pricing prospectively, with notice posted on the Service or sent to your account email, effective for future top-ups.
• You are responsible for any third-party charges (e.g. Razorpay processing fees) disclosed at the time of payment.

09Intellectual property

RefLyst and its licensors own all rights in the Service, including the software, AI models and prompts, platform design, and documentation. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable right to access and use the Service for your internal business purposes. You retain all rights in your own content, including your course information, branding, and the Lead data you upload (“Your Data”). You grant us a limited license to use Your Data solely to provide the Service to you.

10Data protection

Our collection and use of personal data is described in our Privacy Policy, which forms part of these Terms. Where we process Lead data on your behalf as a data processor, you remain the controller/fiduciary responsible for the lawfulness of that data and your instructions to us regarding it.

11Third-party platforms

The Service relies on third-party platforms, including but not limited to Meta's WhatsApp Business Platform, Bolna AI (voice), Groq (AI processing), Sarvam AI (translation), Sender.net (email), and Razorpay (payments). Your use of the Service is also subject to the applicable policies of those platforms (for example, Meta's WhatsApp Business Messaging Policy). We are not responsible for outages, policy changes, or actions taken by these third-party platforms that are outside our control, though we will make reasonable efforts to notify you of material impacts.

12Suspension and termination

We may suspend or terminate your account if you breach these Terms, fail to pay amounts due, or if we reasonably believe your use of the Service poses a legal, security, or reputational risk to RefLyst or others. You may close your account at any time; wallet balances are handled per Section 8. On termination, we will handle your data as described in the Privacy Policy, including any deletion obligations, subject to legal retention requirements.

You agree to indemnify and hold RefLyst harmless from claims arising out of your breach of these Terms, your Lead data, or your non-compliance with applicable telecom, marketing, or data protection law in respect of your Leads.

16Governing law and disputes

These Terms are governed by the laws of India. Any dispute arising out of or relating to these Terms will be subject to the exclusive jurisdiction of the courts of Bengaluru, Karnataka or: resolved by arbitration under the Arbitration and Conciliation Act, 1996, seated in Bengaluru.

17Changes to these terms

We may update these Terms from time to time. We will post the revised version here with an updated date, and for material changes, notify you by email. Continued use of the Service after changes take effect constitutes acceptance.
